Nova Receptionist – Terms of Service

1. Acceptance of Terms

By accessing or using the Nova Receptionist service (“Service”) provided by SEG UNIVERSE INC. (“Company”, “we”, “our”, or “us”), you (“Client”, “User”, or “You”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

2. Nature of Service

The Service utilizes experimental artificial intelligence and natural language processing (“AI/NLP”) technologies. You acknowledge that the Service may generate incorrect or imperfect responses. The Service is provided “as-is” and “as available,” without any warranties or guarantees of any kind.

3. Hold Harmless Agreement

You agree to fully indemnify, defend, and hold harmless SEG UNIVERSE INC., its affiliates, officers, employees, contractors, and agents from and against any claims, damages, losses, or liabilities, including legal fees, arising out of your use of the Service, breach of these Terms, or violation of any law or rights of a third party.

4. Limitation of Liability

• We are not liable for any indirect, incidental, special, punitive, or consequential damages.
• We are not responsible for any loss of data, revenue, profits, or business interruption.
• Our total liability shall not exceed 25% of the fees paid by you to us in the prior 6 months or $500, whichever is less.

5. Binding Arbitration

All disputes shall be resolved exclusively by binding arbitration in Davidson County, Tennessee under the rules of the American Arbitration Association. No class actions or jury trials are permitted. The prevailing party shall be entitled to reasonable attorneys’ fees and costs.

6. Modifications to Terms

We reserve the right to change these Terms at any time. Changes will be posted on our website and are effective immediately. Continued use of the Service constitutes acceptance of the revised Terms.

7. Service Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion without prior notice for any violation of these Terms or for any reason we deem necessary.

8. Ownership

All content, data, software, and intellectual property used in or generated by the Service remain the sole property of SEG UNIVERSE INC. You receive no rights other than limited access under these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, excluding its conflict of law rules.
